1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and SelamPass("we," "us," or "our"), a Virginia-based company. By accessing or using the SelamPasswebsite, mobile experience, or any related services (collectively, the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to refuse service to anyone for any reason at any time.

2. Description of Service

SelamPassis an online event marketplace that connects attendees with Ethiopian community event organizers ("Partners") in the Washington DC, Maryland, and Virginia ("DMV") area. Through the Platform, you can discover, book, and attend cultural events, dining experiences, entertainment, and community gatherings.

SelamPass is a marketplace facilitator, not an event organizer. We provide the technology platform that enables Partners to list events and Users to discover and book them. The actual events, experiences, and services are provided by independent Partners who are solely responsible for the quality, safety, accuracy, and legality of their offerings. SelamPass does not own, operate, manage, or control any events listed on the Platform.

3. Eligibility

To use SelamPass, you must:

• Be at least 18 years of age
• Be located in or visiting the United States at the time of booking
• Have the legal capacity to enter into a binding agreement
• Not have been previously suspended or removed from the Platform

By using the Platform, you represent and warrant that you meet all of the above eligibility requirements.

4. User Accounts

To access certain features of the Platform, including booking events, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately at support@selampass.com if you suspect unauthorized access to your account

You may not transfer your account to another person or use another person's account without their permission. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

5. Bookings and Tickets

5.1 Booking Process

When you book an event through SelamPass, you are entering into a direct transaction with the Partner who organized the event.SelamPass facilitates this transaction by providing the booking platform, payment processing, and ticket delivery.

5.2 Digital Tickets

Upon successful booking, you will receive a digital ticket containing a unique QR code. This QR code serves as your proof of purchase and entry credential. You are responsible for:

• Keeping your QR code secure and not sharing it with unauthorized parties
• Presenting your QR code (via mobile device or printed copy) at the event for validation
• Arriving within the timeframe specified by the event listing

Each QR code is valid for a single use. Once scanned and validated by the Partner, it cannot be used again.

5.3 Pricing and Fees

All prices displayed on the Platform are in United States Dollars (USD) and are set by the Partners. The price you see at checkout is the total amount you will be charged, inclusive of any applicable fees. SelamPass does not add hidden surcharges to the price displayed to attendees.

6. Payments

All payments on the Platform are processed in United States Dollars (USD) through Stripe, Inc., our third-party payment processor. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy.

SelamPasscharges Partners a commission of 9% on each completed booking. This commission is deducted from the Partner's payout and is not charged to the attendee. Partners receive payment for bookings according to their payout schedule.

SelamPass does not store your credit card information. All payment data is handled directly by Stripe in accordance with PCI-DSS standards.

7. Cancellations and Refunds

Cancellation and refund policies vary by event and are determined by each Partner. Before completing a booking, review the specific cancellation policy displayed on the event listing page.

General guidelines:

• Some events may offer full refunds if cancelled within a specified timeframe before the event
• Some events may be non-refundable or offer only partial refunds
• If a Partner cancels an event, you will receive a full refund of the amount you paid
• Refunds, when applicable, are processed through Stripe and may take 5 to 10 business days to appear on your statement

8. User Content

8.1 Reviews and Ratings

The Platform may allow you to submit reviews, ratings, comments, and other content ("User Content") related to events and Partners. By submitting User Content, you grant SelamPass a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, display, and distribute your User Content in connection with the Platform and our marketing efforts.

8.2 Content Standards

You agree that your User Content will not:

• Be false, misleading, or fraudulent
• Contain defamatory, obscene, abusive, threatening, or discriminatory material
• Infringe on the intellectual property or privacy rights of any third party
• Contain spam, advertising, or promotional material unrelated to the event
• Violate any applicable law, regulation, or these Terms

8.3 Content Moderation

SelamPass reserves the right, but is not obligated, to monitor, edit, or remove any User Content at our sole discretion. We may remove content that violates these Terms or that we deem inappropriate, without prior notice.

9. Intellectual Property

The Platform and its entire contents, features, and functionality — including but not limited to the SelamPass name, logo, design, text, graphics, icons, images, software, and code — are the exclusive property of SelamPass or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. You may not:

• Copy, modify, distribute, sell, or lease any part of the Platform
• Reverse engineer or attempt to extract the source code of the Platform
• Use any data mining, robots, scraping, or similar data gathering methods on the Platform
• Remove, alter, or obscure any proprietary notices on the Platform

10. Prohibited Conduct

You agree not to use the Platform to:

• Violate any applicable local, state, national, or international law or regulation
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Interfere with or disrupt the Platform or servers or networks connected to the Platform
• Attempt to gain unauthorized access to any portion of the Platform, other accounts, or computer systems
• Use the Platform for any purpose that is fraudulent or otherwise unlawful
• Harvest or collect email addresses or other personal information of other users
• Create multiple accounts for deceptive or abusive purposes
• Post or transmit any viruses, malware, or other harmful code
• Use automated systems (bots, scrapers) to access the Platform without our written permission
• Resell or scalp tickets purchased through the Platform without the Partner's written consent
• Circumvent any measures we use to prevent or restrict access to the Platform

11. Limitation of Liability

SelamPass is a marketplace intermediary. We do not organize, host, manage, or control the events listed on the Platform. To the fullest extent permitted by applicable law:

• SelamPass shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any event booked through the Platform
• SelamPass shall not be liable for any loss or damage arising from the acts, omissions, errors, or negligence of Partners, including but not limited to event cancellations, venue conditions, quality of experience, or personal injury
• Our total aggregate liability for any claims arising from or relating to these Terms or the Platform shall not exceed the total amount you have paid to SelamPass in the twelve (12) months preceding the claim
• The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless SelamPass, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of a third party
• Any User Content you submit, post, or transmit through the Platform
• Your conduct in connection with any event booked through the Platform

13. Dispute Resolution

13.1 Governing Law

These Terms and any disputes arising from or relating to them shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve the dispute informally by contacting us at support@selampass.com. We will attempt to resolve the dispute through good-faith negotiation within 30 days.

13.3 Binding Arbitration

If we are unable to resolve a dispute informally, you andSelamPassagree that any remaining dispute, controversy, or claim shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Virginia, United States, and the arbitrator's decision shall be final and binding.

13.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

13.5 Exceptions

Either party may bring an individual action in small claims court for disputes within the court's jurisdiction. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement or unauthorized access to the Platform.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms. Upon termination:

• Your right to access and use the Platform will immediately cease
• Any bookings for future events may be cancelled at our discretion, subject to applicable refund policies
• We may delete your account and associated data, subject to our data retention obligations described in our Privacy Policy
• Provisions that by their nature should survive termination will survive, including Sections 8 (User Content license), 9 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification), and 13 (Dispute Resolution)

You may terminate your account at any time by contacting us at support@selampass.com. Account deletion requests are processed within 30 days.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of these Terms
• Notify you by email or through a prominent notice on the Platform at least 15 days before the changes take effect

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Platform and may request account deletion.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by SelamPass on the Platform, constitute the entire agreement between you and SelamPassregarding your use of the Platform. These Terms supersede any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and SelamPass.
